Esta obra tiene por objeto el estudio de algunas de las principales interferencias que la tramitacion del proceso concursal puede producir en el Derecho Societario, de las que es expresion -por su complejidad, singularidad y efectos- la capitalizacion de los creditos de la matriz en el concurso de una de sus filiales. Se examina como, en un contexto concursal, algunas de las disposiciones de la legislacion societaria reguladoras del aumento de capital por compensacion de creditos son atemperadas o excepcionadas con el fin de potenciar el saneamiento fi nanciero de las sociedades en crisis. Tambien se dedica especial atencion a otras cuestiones que constituyen ejemplo de la interconexion entre estas dos ramas del Derecho Mercantil y asi se analizan tanto la impugnacion de acuerdos sociales en los que se acuerda el aumento por compensacion de creditos como la posible rescision de la aportacion que la sociedad matriz, mas tarde declarada en concurso, realizo en la operacion de aumento acordada en la Junta General de su filial. Por ultimo, en este trabajo se estudia la nocion concursal de grupo de sociedades, asi como el tratamiento concursal de los creditos de los socios, administradores y sociedades del grupo en caso de concurso de una de sus integrantes. Ademas, la incidencia de la declaracion de concurso en la sociedad que forma parte de un grupo no se agota en los aspectos indicados, sino que muestra especial relevancia en la rescision concursal de las denominadas "operaciones de grupo", entre las que se incluye el otorgamiento de garantias contextuales y no contextuales a favor de deuda ajena.
