Früher genügte es, für den Unternehmensverkauf, die Ertragszahlen vorzulegen, um so Kaufinteressenten von der guten Investitionsmöglichkeit zu überzeugen. Dieses reicht heutzutage, um weitere Verhandlungsrunden einzuleiten, bei weitem nicht mehr aus. Die möglichen Kaufinteressenten verlangen nun detaillierte Informationen bezüglich des gesamten Unternehmens. Darüber hinaus verlangen viele Kreditinstitute möglichst genaue Daten, bevor die Banken den evtl. notwendigen Kredit für die geplante Finanzierung gewähren, um so das Risiko einer Fehlinvestition deutlich zu minimieren. Folglich sind zunehmend mehr Verkäufer genötigt, diese bisher eingehaltenen Firmendaten/Informationen offen zu legen bzw. sie im Rahmen einer Due Diligence bekannt zu geben und so dem Käufer das Kaufobjekt interessant zu machen. Die Beschaffung von Informationen, die zur Beurteilung von Risiken notwendig sind, stellt das dominante Motiv einer Due Diligence dar. Die Due Diligence dient dazu, eine vorhandene Informationsasymmetrie zwischen dem Verkäufer und dem Kaufinteressenten zu verringern. Laut einer Schätzung des Institutes der deutschen Wirtschaft stehen in den nächsten zehn Jahren ca. 700.000 Unternehmungen zur Übertragung und Vererbung an. Von diesen Unternehmen werden höchstwahrscheinlich die meisten im Rahmen einer Due Diligence betrachtet werden. Das zeigt die zunehmende Bedeutung der Due Diligence für die vorhandene Wirtschaft und ist Grundlage dieser Arbeit sein.
