Unternehmenskonglomerate sind im modemen Geschäftsleben eine weitverbreitete Er- scheinung, die wegen ihrer Größe oder ihres oft spektakulären Zustandekommens im- mer wieder Gegenstand öffentlicher Neugier sind. Unwillkürlich neigt der Beobachter dazu, sie mit übergroßer und unkontrollierter Marktmacht in Verbindung zu bringen und sie deshalb aus Gründen der Wettbewerbspolitik zu bekämpfen. Inwieweit sind sol- che Konglomerate aber steuerbar? Um sich auf den Märkten einigermaßen geschmeidig bewegen zu können, dürfen sie nicht zentral auf hierarchischem Wege von oben nach unten gesteuert werden; vielmehr ist ein gewisses Ausmaß von Dezentralität erforder- lich, also von Autonomie der verschiedenen Geschäftsbereiche. Wie kann nun die "Zen- trale", welcher die Steuerungsfunktionen obliegen, trotz solcher Autonomie die einzel- nen Geschäftsbereiche im Sinne der Ziele des Konglomerates steuern? Diese Frage ist Gegenstand der Arbeit von Georg Schmidt. Durch die konsequente Anwendung des zu Beginn erarbeiteten theoretischen Modells, einer Kombination von Portefeuille- und Kapitalmarkttheorie sowie der Transaktions- kostenökonomie gelingt es dem Verfasser, neue Einblicke in das Verhalten von Füh- rungskräften in Konglomeraten und in ihre Reaktion auf unterschiedliche Steuerungs- impulse zu erarbeiten. Als fruchtbar erweist sich insbesondere die Konzeption des spezi- fischen Humankapitals und der Quasi-Renten von Investitionen in solches Kapital, die entweder bei der Führungskraft oder beim Konglomerat oder aber bei beiden anfallen. Diese Form der Betrachtung erlaubt subtile Differenzierungen, die sonst nicht mögliche wären.
