Juni 2009, kurz vor Inkrafttreten des Gesetzes zur Umsetzung der Aktionärsrechterichtlinie (ARUG).2 Mit dieser Prognose hinsichtlich der Auswirkungen des ARUG mögen die Autoren richtig gelegen haben. Aus juristischer Sicht sind demgegenüber vor allem die Auswirkungen des ARUG sowie des UMAG3 auf das Beschlussmängelrecht von Interesse. Die Bekämpfung räuberischer Aktionäre ist für den Aktienrechtler eine der dringendsten Aufgaben des frühen 21. Jahrhunderts. Deren Treiben schadet nicht nur den betroffenen Unternehmen im Einzelfall, sondern beschädigt nachhaltig die Attraktivität des Wirtschaftsstandorts Deutschland und der Aktie als Anlageinstrument für institutionelle Investoren. Gleichwohl ist das Phänomen missbräuchlicher Klagen gewissermaßen die Spitze eines Eisbergs, die eine entscheidende Schwachstelle des aktienrechtlichen Beschlussmängelrechts offenbart. Dabei handelt es sich um die traditionell fehlende Trennung der Entscheidungen über Eintragung und Wirksamkeit eines Beschlusses einerseits und über seine Fehlerhaftigkeit andererseits. Die Folge dessen war seit jeher, dass geltend gemachte Zweifel an der Wirksamkeit von Beschlüssen deren Vollzug über Jahre verhinderten. In dieser Arbeit soll untersucht werden, inwieweit und mit welchen Mitteln das ARUG das Ziel der Missbrauchsbekämpfung erreicht hat und inwieweit sich die vom Gesetzgeber gewählten Mittel in das bisherige Beschlussmängelrecht einfügen. Daneben werden alternative Regelungskonzepte in gleicher Weise untersucht und mit dem von UMAG und ARUG geschaffenen System verglichen.
