About the Book

Die aktienbasierte Mitarbeitervergütung ist seit einiger Zeit von zunehmender Bedeutung für Unternehmen. Vor ein paar Jahren noch setzte sich die Entlohnung von Führungskräften in Deutschland lediglich aus einem Festgehalt und einer ergebnisabhängigen Bonifikation zusammen. Mittlerweile findet man aber auch zunehmend unternehmenswertbezogene variable Vergütungsinstrumente - häufig in Form von Aktienoptionsplänen (stock options). Durch die Ausgabe von Eigenkapitalinstrumenten soll der Kritik der ungenügenden Beachtung der Renditeforderungen der Anteilseigner durch das Management entgegengewirkt und somit die Unternehmensführung auf das Konzept des Shareholder Value justiert werden. Das Problem des Principal-Agent-Konflikts soll durch monetäre Anreize gelöst werden, indem die Mitglieder der Unternehmensleitung durch die Gewährung von Aktien und Aktienoptionen in eine "eignerähnliche Position" befördert werden. Da Führungskräfte jedoch in der jüngeren Vergangenheit aufgrund der Ausgestaltung der Optionsprogramme vielfach auch bei unterdurchschnittlichen Aktienkursverläufen profitiert haben, wurden sie häufig mit dem Vorwurf der "Selbstbedienung" konfrontiert. Mit der Einführung solcher Vergütungssysteme gehen auch die Probleme der bilanziellen Abbildung aktienbasierter Entlohnungsformen einher, welche in den vergangenen Jahren sowohl in der Wissenschaft als auch in der Praxis Objekt zahlreicher kontroverser Diskussionen war. Hauptgegenstand dieser Diskussionen war die Frage, ob die Ausgabe von Mitarbeiteraktienoptionen beim emittierenden Unternehmen zur erfolgswirksamen Verbuchung eines Personalaufwands führt. Aufgrund der sog. IAS-Verordnung müssen grundsätzlich alle kapitalmarktorientierten Mutterunternehmen mit Sitz in der Europäischen Union ab dem Geschäftsjahr 2005 bzw. 2007 ihre Konzernabschlüsse nach den International Financial Reporting Standards (IFRS) aufstellen.
