English summary: In partnership or corporate law, the right of the individual partner to take legal action is regulated by the dualism of the basic corporation type. This is reflected in the varying allocation and division of assets in partnership and corporate law, and as a consequence there are differences in responsibility for the rights and duties of the corporation and its partners. The authority of the partner as an individual legal entity to exercise a right either changes when he joins one of these dualistically structured associations or it is restricted. Thomas Barnert shows that literature as well as legal decisions dilute legal regulations by applying those rules which are valid for one to the other and vice versa. German description: Thomas Barnert untersucht das Forderungs- und Klagerecht des einzelnen Gesellschafters im Recht der Personengesellschaft und der Kapitalgesellschaft, das herkommlich und gesetzessystematisch unter dem Regime des Dualismus der Gesellschaftsgrundtypen steht. Dieser Dualismus spiegelt sich wider in der unterschiedlichen Vermogenszuordnung und Vermogenstrennung bei Personengesellschaften und Kapitalgesellschaften, der die entsprechend andersgeartete Tragerschaft von Rechten und Pflichten der Gesellschaft und der Gesellschafter folgt. Die Rechtsausubungsmacht des Gesellschafters als einzelnes Rechtssubjekt geht im Beitritt zu einem dieser dualistisch konzipierten Verbandstypen fur die in ihnen korporativ verfolgten Zwecke auf oder ist eingeschrankt. Die Literatur versucht die dualistische Gesetzessystematik entweder grundsatzlich oder bei Versagen der Verbandsorganisation durch Auflosung der rechtlichen Wesensunterschiede zu uberwinden. Die Judikatur sieht eine dogmatische Grundlage fur die Abkehr vom Systemganzen in der Fallnahe mit pragmatischen Losungswegen. Bei allen Unterschieden im Detail haben Literatur und Rechtsprechung Zuge der Dekonstruktion gesetzlicher Vorgaben gemeinsam, indem die Typizitat rechtlicher Grundlagen der Personengesellschaft auf die Kapitalgesellschaft und umgekehrt ubertragen werden.
