Mit diesen Worten sorgte der Bonner Rechtsanwalt Thomas Heidel auf der Hauptversammlung der Bayrischen Hypo- und Vereinsbank Aktiengesellschaft (HVB) im Juli 2008 für Aufruhr und sprach damit stellvertretend für viele Kleinanleger der HVB. Er bezog sich auf die Umstände, unter denen die HVB in den Konzern der italienischen Großbank UniCredit S.p.A. (UniCredit) integriert wurde. Thomas Heidel warf UniCredit vor, sie habe die HVB auf Kosten der Minderheitsaktionäre in ihren Konzern integriert und diese dadurch massiv geschädigt. Dieser Vorwurf sorgte für ein beachtliches Echo in den Medien, produzierte eine Fülle von Anfechtungs- und Schadensersatzklagen, die bis zum BGH verfolgt wurden und verzögerte den Abschluss der Konzernintegration um mehrere Jahre. Insbesondere stritten sich die HVB-Hauptaktionärin UniCredit und die Minderheitsaktionäre über den Verkauf des Osteuropageschäfts der HVB an UniCredit und die Angemessenheit des dafür gezahlten Kaufpreises. Die Minderheitsaktionäre waren der Ansicht, die HVB habe ihr Osteuropageschäft weit unter Wert an UniCredit verkauft und somit ihr "Filetstück an die Hauptaktionärin verschleudert." Der Wert des Osteuropageschäfts betrüge rund das Doppelte des gezahlten Kaufpreises, rund 24 Milliarden Euro anstelle der gezahlten 12 Milliarden Euro. Die Vorstände der HVB und UniCredit sahen dies naturgemäß anders, sodass angesichts der wirtschaftlichen Bedeutung der BGH das letzte Wort hatte. Eine Teilfrage dieses Streitkomplexes, den der BGH in Form von Anfechtungsklagen gegen den Zustimmungsbeschluss zu der Transaktion zu beurteilen hatte, betraf das faktische Konzernverhältnis zwischen HVB und U
