Inhaltsangabe: Einleitung: An den europäischen Kapitalmärkten gewann in den vergangenen 5 Jahren die Eigenkapitalbeschaffung mittels eines Börsenganges, in der Fachpresse auch IPO oder Going Public genannt, zunehmend an Bedeutung. Insbesondere Unternehmen dynamischer Wachstumsbranchen (z. B. High-tech, Telekommunikation, Media oder Biotech, u.a.) wagten in dieser Phase vermehrt den Sprung an die Börse, um sich mit Eigenkapital zu finanzieren. Obwohl inzwischen die Zahl der IPOs im momentan stark konsolidierenden Börsenumfeld wieder rückläufig ist, sind dennoch in den Jahren 1999 und 2000 in Deutschland annähernd so viele Unternehmen an die Börse gegangen (222), wie in den vergangenen 10 Jahren zuvor (239, 1988-1998). Deutlich weniger Beachtung in der europäischen Finanzwelt, mit der Ausnahme von Großbritannien, findet das Gegenstück des Going Public, der Rückzug von der Börse, in der Fachsprache Public to Private oder auch Going Private (GP) genannt. In der Literatur und Fachpresse werden im Zusammenhang mit einem Public to Private ebenfalls die Begriffe Delisting, also der reine Vorgang der Rücknahme der Börsennotierung, sowie Going Private Merger oder auch Management Buy Out (MBO), u.a. gebraucht. Dem Gehalt nach sind sie aber nur Abwandlungen bzw. Umsetzungsmöglichkeiten eines Themas, dem „Going Private". Die Gründe für ein Public to Private können vielfältig sein. Als eines der Hauptmotive ist aber vor allem das Nichteintreten der erhofften Vorteile einer Börsennotierung zu nennen, im wesentlichen eine langfristige und „profitable" Beschaffung von Eigenkapitalmitteln über die Börse. Eine weitere Differenzierung der einzelnen Begriffe und ihrer Bedeutung sowie einer detaillierteren Darstellung der einzelnen Going Private Hintergründe erfolgt im Verlauf der Untersuchung.
