Karl Marx erkannte bereits Mitte des neunzehnten Jahrhunderts die Tendenz zum Zusammenschluss immer größerer Unternehmen. Gegenwärti schwanken Fusionen und Übernahmen zwar parallel zur Konjunktur, der langfristige Trend zeigt jedoch einen ungebrochenen Anstieg an Transaktionen. Der Finanzdienstleistungssektor ist eine besonders stark betroffene Branche dieser Entwicklung. In Österreich stellt sich die Situation laut Auskunft von Oberrevisor Schatz (Raiffeisenverband Steiermark) folgendermaßen dar: 1999 gab es in Österreich ca. 1000 Banken, welche sich bis heute auf unter 800 reduziert hat. Dennoch kann davon ausgegangen werden, dass eine große Fusionswelle im Bankensektor Österreichs erst bevorsteht. Österreich ist nach wie vor "overbanked" Institute müssten, laut Hahn (WIFO Bankenexperte), Unternehmensgrößen erreichen, die ihnen ein effizientes Geschäftsmodell ermöglichten. Im Rahmen der vorgeschlagenen Projektarbeit wird zuerst auf die einschlägige Literatur eingegangen, um einen ausführlichen theoretischen Hintergrund für das Thema zu erarbeiten. Hier wird neben einigen begrifflichen Klärungen vor allem darauf eingegangen, welche Situationen Fusionen begünstigen, in welchen Branchen diese häufiger vorkommen als in anderen und für welche Art von Unternehmen diese häufiger große strategische Relevanz haben. Ein Aspekt der für das in weiterer Folge dargestellte Fallbeispiel von besonderer Bedeutung ist, sind die Folgen einer Fusion für die betroffene Belegschaft. Hierbei wird insbesondere erörtert, an welchen Stellen es im Zuge einer Zusammenlegung leicht zu Konflikten kommen kann und welche Möglichkeiten dem Management offen stehen um diese zu vermeiden.
